Terms of Participation.

Before you read
This document covers what you get, what we promise, and what happens if things change. We have written it the way we write everything — plainly, without hiding anything in the language.

01Definitions
Throughout this document, the following terms have the following meanings:
- “Kitch” means the restaurant operator platform owned and operated by Grid Creative Advertising Inc.
- “Grid Creative” means Grid Creative Advertising Inc., a corporation incorporated under the laws of Ontario, with its registered office at 242 Applewood Cres, Concord, Ontario, and the legal entity responsible for all obligations in these terms.
- “Founding Member” means an operator who has completed payment for a Founding 150 membership during the founding period.
- “Founding Period” means the period during which Founding 150 memberships are available, ending when 150 memberships have been sold or Grid Creative closes the offer, whichever comes first.
- “Platform” means the Kitch software product, including the live restaurant site, menu and hours update system, QR infrastructure, change history, team access, and custom domain tooling, as it exists and as it evolves during your founding term.
- “Founding Term” means the five-year period beginning on the date your payment is processed and confirmed.
- “Content” means all restaurant data you create, upload, or generate within the platform, including but not limited to menu items, hours, descriptions, promotional copy, and change history.

This is not a subscription. There is no annual renewal. There is no recurring charge. One payment covers the full five-year founding term.
Founding membership is personal to the purchasing operator and the restaurant specified at the time of purchase. It cannot be transferred, sold, or assigned to another operator or entity.
03What you get
Active from day one

- Custom domain — your address, configured during onboarding, yours to keep

- Setup included — Grid Creative builds your initial site from the information you provide during onboarding, within seven business days of purchase
For the full five-year founding term
- Every feature added to the core platform during your term, at no additional cost
- Access to new features before they are available to standard subscribers
- Founding member pricing locked on any optional add-ons launched during your term, as defined at the time of their launch
- Quarterly founding member feedback calls, scheduled at your convenience
- A direct email line to the founding team at founding@getkitch.app, separate from the standard support queue
04What is not included
Founding membership covers the core Kitch platform. The following are outside its scope:
- Third-party costs including domain registration fees, DNS transfer fees, and payment processing fees
- Custom development work specific to your restaurant and outside the standard platform feature set
- Features launched by Grid Creative as separately priced products clearly distinct from the core platform — founding members are notified in advance and offered founding pricing on these before general availability
- Uninterrupted service during events outside Grid Creative’s reasonable control, including infrastructure outages, third-party service failures, natural disasters, or government action
- Features or integrations belonging to third-party platforms not owned or operated by Grid Creative
If Grid Creative ever launches something as a distinct product rather than a platform feature, founding members are given written notice no less than 14 days before launch and offered access at cost before general availability.
05The 30-day guarantee
If Kitch is not right for your restaurant within the first 30 days, you receive a full refund of $2,500 CAD. No conditions. No partial refunds. No store credit.
How to request
Email founding@getkitch.app with the subject line: Refund Request. Include your restaurant name and the email address used at purchase. Grid Creative will process your refund within five business days to the original payment method. No further information is required.
What the 30 days covers
From the moment your payment is processed you have full platform access. Grid Creative builds your site within the first seven business days. You have the remaining time in the 30-day window to use the platform in a real service environment before the guarantee closes.
After 30 days
The $2,500 payment is non-refundable except in the circumstances described in Section 7. Grid Creative honours its founding term obligations from day one. After 30 days we ask that you honour yours.
Refund timeline
Refunds are processed within five business days of a valid request received within the 30-day window. Timing of funds returning to your account depends on your financial institution and is outside Grid Creative’s control once processed.
06Grid Creative’s commitments
These commitments are unconditional for the full five years of your founding term. They are not aspirational. They are obligations.
Grid Creative will never, during your founding term:
- 01Charge a markup on your guest data
- 02Operate a pay-to-rank directory affecting your restaurant's visibility
- 03Raise the price on features you already have access to as a founding member
- 04Sell, license, or share your restaurant data or guest data with third parties for commercial purposes without your explicit written consent
- 05Lock your content, domain, or menu data if you leave the platform or if the platform ceases operation
Your content, your domain, your data. Always yours.
You may export all content stored in the platform at any time, in a standard readable format, at no cost, without requiring permission or advance notice. This right survives the end of your founding term and survives any acquisition or shutdown of the platform.
07If Kitch or Grid Creative changes
Grid Creative is a founding-stage company. The following provisions govern scenarios outside our day-to-day control.
7.1 Acquisition
If Grid Creative or the Kitch platform is acquired by a third party, your founding membership transfers in full to the acquiring entity. Every commitment in these terms becomes a binding obligation of the acquiring entity for the remainder of your founding term.
If the acquiring entity will not agree to honour these terms in full, founding members are entitled to a pro-rata refund calculated as follows:
Refund = $2,500 CAD × (calendar days remaining in founding term ÷ 1,825)
Grid Creative will provide founding members with written notice of any acquisition no less than 60 days before the transaction closes. Within that 60-day window, founding members may elect to transfer their membership to the acquiring entity or request the pro-rata refund. An election must be submitted in writing to founding@getkitch.app. Founding members who do not respond within the 60-day window are assumed to have elected to transfer.
7.2 Shutdown
If Grid Creative ceases operations or discontinues the Kitch platform entirely, founding members are entitled to:
- Written notice no less than 90 days before the effective shutdown date
- A full export of all content stored in the platform, provided in a standard readable format, delivered within 30 days of the notice date
- A pro-rata refund calculated on the formula in Section 7.1, paid from available funds before any other financial obligation is settled in the wind-down
Grid Creative will prioritise founding member refunds over all unsecured creditor obligations in any wind-down scenario, to the extent permitted by applicable law.
7.3 Material change to the platform
If the core platform — defined as the live restaurant site, menu and hours update system, QR infrastructure, and change history — ceases to be available to founding members or is fundamentally altered such that it no longer serves the purpose for which founding membership was purchased, founding members are entitled to a pro-rata refund under the formula in Section 7.1.
A founding member who wishes to claim a material change refund must notify Grid Creative in writing at founding@getkitch.app. Grid Creative has 30 days to remedy the material change or process the refund. If the change is remedied to the founding member’s reasonable satisfaction within 30 days, no refund is owed.
08Membership scope
Founding membership covers one restaurant at one physical location, as specified at the time of purchase. It is not a reseller license, agency license, or white-label arrangement.
Multiple locations
If you operate multiple locations and wish to extend founding membership to additional locations, founding pricing applies to additional locations purchased before the founding period closes. Each location requires a separate membership and a separate payment.
Change of location
If your restaurant relocates during the founding term, your membership transfers with you. Notify Grid Creative in writing and your domain, content, and access transfer to the new location at no cost.
Change of ownership
If your restaurant changes ownership during the founding term, founding membership does not transfer to the new owner. The new owner may purchase a standard Kitch subscription at the then-current rate. No pro-rata refund is available in a voluntary change of ownership scenario.
09Acceptable use
Grid Creative reserves the right to suspend or terminate platform access, without refund after the 30-day guarantee period, if a founding member:
- Uses the platform in a manner that is illegal under Canadian federal or provincial law
- Intentionally disrupts or damages the platform or the experience of other operators
- Misrepresents their restaurant identity or operates the membership in material bad faith
Grid Creative will provide written notice and a minimum of 14 days to remedy any breach before termination, except in cases of clear legal violation or platform security threats, where immediate suspension may be necessary. If access is terminated for breach, no refund is owed after the 30-day guarantee period.
10Limitation of liability
To the maximum extent permitted by applicable law, Grid Creative’s total liability to a founding member under these terms, for any cause and regardless of the form of action, is limited to the amount paid by the founding member — $2,500 CAD.
Grid Creative is not liable for indirect, incidental, consequential, or punitive damages arising from use or inability to use the platform, including but not limited to lost revenue, lost guests, or lost business opportunity.
Nothing in this section limits Grid Creative’s liability for fraud, gross negligence, or wilful misconduct.
11Privacy and data
Grid Creative collects and processes personal and restaurant data in accordance with its Privacy Policy, available at getkitch.app/privacy.
Grid Creative does not sell founding member data. Grid Creative does not use founding member guest data for any purpose other than operating the platform on the founding member’s behalf.
Founding members retain full ownership of all content uploaded to or generated within the platform. Grid Creative holds a limited licence to store, process, and display that content solely for the purpose of operating the platform for the founding member. This licence terminates when the founding member exports their data or when the founding term ends, whichever comes first.
12Changes to these terms
The commitments in Section 6 are fixed for the duration of your founding term and cannot be changed without your written consent.
For all other sections, Grid Creative may update these terms with 30 days written notice to founding members. If a change materially reduces the value of founding membership, founding members may request a pro-rata refund under the formula in Section 7.1 within 30 days of receiving notice of the change.
13Dispute resolution
Grid Creative and founding members agree to first attempt to resolve any dispute directly and in good faith. Contact founding@getkitch.app. We respond same day and we take disputes seriously.
If direct resolution is not reached within 30 days of written notice of a dispute, the matter will be submitted to binding arbitration administered by the ADR Institute of Canada under its National Arbitration Rules. Arbitration will be conducted in Toronto, Ontario, in English. The arbitrator’s decision is final and binding.
Nothing in this section prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction where necessary to prevent irreparable harm.
14Governing law
These terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
15General
Entire agreement. These terms, together with the Privacy Policy at getkitch.app/privacy, constitute the entire agreement between Grid Creative and the founding member with respect to the Founding 150 membership.
Severability. If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force and effect.
No waiver. Grid Creative’s failure to enforce any provision of these terms does not constitute a waiver of its right to enforce that provision in the future.
Language. These terms are written in English. In the event of any conflict between an English version and any translated version, the English version governs.

The plain English version
- You pay $2,500 once to Grid Creative Advertising Inc., the company that owns Kitch.
- You get five years of everything on the platform.
- 30 days to change your mind. Full $2,500 back. No questions.
- If we get acquired, your terms transfer to the new owner. If they won’t honour them, you get your money back for the time that is left.
- If we shut down, same thing. 90 days notice. Full data export. Pro-rata refund.
- Your data, your domain, your content. Always yours. Always exportable.
- We will never raise the price on what you already paid for.
- One restaurant, one membership. Founding pricing on additional locations while seats remain.
- Disputes go to arbitration in Toronto if we cannot resolve them directly. Ontario law governs.
By completing your Founding 150 purchase you confirm that you have read, understood, and agreed to these terms in full.
